A. Marketing Retainers
Ongoing SEO, SEM, Local SEO, and Social Media management retainers are billed on a monthly advance basis. Invoices are issued at the start of each 30-day service cycle and are payable within 7 business days.
B. Custom Web Design & Development Projects
Fixed-scope web development projects follow a structured milestone installment schedule:
- 50% Initial Deposit: Required upon contract execution prior to architecture planning and wireframe design.

C. Direct Advertising Spend Policy
Client ad spend budgets on Google Ads, Meta Ads, TikTok Ads, and LinkedIn Ads are paid directly by the Client to the respective ad platform via the Client's own corporate billing profile. Scope IT Solutions does not mark up media spend or commingle client ad funds with agency accounts.
4. Month-to-Month Flexibility & Cancellation Policy
We believe in earning our clients' business every single month through measurable performance rather than restrictive contracts:
- Zero Long-Term Lock-Ins: Standard digital marketing retainers operate on a flexible month-to-month basis with no mandatory multi-year commitments unless explicitly requested for discounted annual terms.
- 30-Day Notice for Cancellation: Either party may pause or terminate an ongoing monthly retainer by providing 30 days written notice via official email prior to the next billing date.
- Smooth Off-Boarding: Upon cancellation, we complete all scheduled work for the active paid billing cycle and provide a structured handover of all analytics properties, campaign creative files, and access credentials.

6. Client Responsibilities & Delegated Access
To ensure on-time project milestones and maximum campaign performance, the Client agrees to:
- Timely Provision of Assets: Provide required branding assets, logos, product catalogs, photography, and copy materials in a timely manner.
- Milestone Approvals: Review submitted staging wireframes, ad copy decks, and technical recommendations, providing constructive feedback within 5 business days of submission.

No digital marketing agency can legitimately guarantee a specific "#1 ranking position" on Google or guarantee exact sales volumes. Organic search rankings and auction-based PPC costs fluctuate based on search engine core algorithm updates, competitor ad spend surges, user search trends, and local market competition outside our direct control.
We guarantee professional methodology, technical excellence, continuous iterative optimization, and 100% transparent data reporting rather than hollow vanity promises.
8. Third-Party Platforms, APIs & External Outages
Our services interact with numerous external digital platforms (including Google, Meta, TikTok, LinkedIn, Shopify, WordPress, Cloudflare, and hosting providers). The Client acknowledges that:
- The Agency is not liable for service interruptions, server downtimes, API deprecations, or sudden policy changes initiated by external third-party providers.
- The Client is responsible for maintaining active, compliant standing with third-party platform policies (e.g., Google Ads Advertising Policies, Meta Community Standards).
- Any fees charged directly by third parties (e.g., domain registration, Shopify subscription, third-party plugin licenses) are the sole responsibility of the Client.
9. Confidentiality & Mutual Non-Disclosure
Both parties agree that all confidential information exchanged during the course of the engagement—including financial figures, customer databases, gross revenue margins, proprietary software code, strategic growth roadmaps, and business trade secrets—shall be held in strict confidence:
- Confidential information will be disclosed only to team members and contractors who need access to execute the project and who are bound by equivalent NDA obligations.
- Confidentiality obligations survive the termination or expiration of any client service contract for a minimum duration of 3 years.
10. Web Development 30-Day Launch Warranty
We stand firmly behind the quality and craftsmanship of our custom web engineering builds:
All custom web design and development projects include a complimentary 30-day post-launch warranty. During this window, Scope IT Solutions will promptly remediate any software bugs, broken links, layout styling defects, or cross-browser rendering inconsistencies at zero additional cost.
The warranty covers the agreed scope of work and does not apply to issues caused by subsequent client code modifications, third-party plugin conflicts installed post-launch, or server hosting failures.
11. Limitation of Liability & Indemnification

- Mutual Indemnification: The Client agrees to indemnify and hold harmless Scope IT Solutions from claims arising out of client-provided materials, trademark infringements, or misleading product representations published on client instructions.
12. Acceptable Website Use & Prohibited Conduct

Both parties irrevocably consent to the exclusive jurisdiction of the competent commercial courts located in Peshawar, Khyber Pakhtunkhwa, Pakistan for any dispute not resolved through informal mediation.
